1. About us

ResolverBox is operated by Cheryl Parsons, a sole trader based in the United Kingdom, trading as "ResolverBox" ("ResolverBox", "we", "us", "our"). We provide an AI-powered platform that helps Etsy sellers generate SEO-optimised product listings, titles, descriptions, tags, and related content (the "Service"). By using the Service, you are entering into an agreement with Cheryl Parsons trading as ResolverBox.

2. Acceptance of terms

By creating an account, accessing or continuing to use the Service, you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, you must not use the Service. If you are using the Service on behalf of an organisation, you confirm you have the authority to bind that organisation.

3. The service

ResolverBox uses generative AI to produce listing content based on inputs you provide. Outputs are suggestions only and may contain inaccuracies. You are responsible for reviewing all generated content before publishing it on Etsy or any other platform, and for ensuring it complies with Etsy's policies and applicable law.

Outputs are generated by AI models and may be inaccurate, incomplete, or unsuitable for your use case. We make no guarantee regarding the accuracy, originality, or fitness of generated content.

6. Intellectual property

ResolverBox and all underlying software, models, prompts, branding, and documentation are owned by ResolverBox and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your subscription plan. You retain ownership of the content you upload, and (subject to applicable law) of the outputs generated for you, but you grant us a limited licence to host and process your content solely to provide the Service.

If you believe content on the Service infringes your rights, contact us so we can investigate. Repeated infringement may result in account suspension.

7. Accounts

You must provide accurate information and keep your account details up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

8. Payments and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, taxes, cancellations, and refunds are governed by Paddle's Buyer Terms. Paid plans renew automatically until cancelled. You can cancel at any time from your account; cancellation takes effect at the end of the current billing period.

8a. Fair use

Plans marketed as "Unlimited" are subject to a fair use policy intended to prevent abuse (for example, automated scripts, resale of generated content as a competing service, sharing a single account across multiple users or businesses, or usage that is materially inconsistent with normal individual seller activity). We reserve the right to apply reasonable soft limits and, where we believe usage falls outside fair use, to contact you before taking any action. Current fair use thresholds are available on request.

9. Service availability

We work hard to keep the Service available, but we do not guarantee uninterrupted, error-free, or secure operation. The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all implied warranties including merchantability and fitness for a particular purpose.

10. Suspension and termination

We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay, pose a security or fraud risk, or repeatedly violate our policies or those of third parties (including Etsy or Paddle). You may stop using the Service at any time.

11. Limitation of liability

To the fullest extent permitted by law, ResolverBox's aggregate liability arising out of or relating to the Service is limited to the fees you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or exemplary damages, including loss of profits, revenue, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, personal injury, or any liability that cannot be excluded under applicable law.

12. Indemnity

You agree to indemnify ResolverBox against any claims arising from your content, your use of the Service in breach of these Terms, or your violation of applicable law or third-party rights.

13. Changes

We may update these Terms from time to time. Material changes will be communicated via the Service or by email. Continued use after changes take effect constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of England and Wales, and any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
